AMD signs AI chip-supply deal with OpenAI, gives it option to take a 10% stake

SANTA CLARA, Calif. — October 6, 2025 — Advanced Micro Devices (NASDAQ: AMD) today announced a landmark multi-year agreement with OpenAI, under which AMD will supply advanced Instinct™ MI450 AI accelerators to power OpenAI’s next-generation artificial intelligence infrastructure.

 

The partnership marks a significant milestone in AMD’s growth within the AI computing market, positioning the company as a key alternative to NVIDIA for large-scale AI compute deployments.

 

Under the agreement, OpenAI will deploy AMD’s Instinct MI450 chips to deliver up to 6 gigawatts of AI compute capacity over several years, beginning with an initial 1 GW deployment in the second half of 2026. The new AI systems will support OpenAI’s expanding model training and inference workloads across products such as ChatGPT, DALL·E, and Codex.

 

As part of the strategic collaboration, OpenAI has also been granted a warrant to purchase up to 160 million AMD shares—representing approximately 10 percent of AMD’s equity—at a nominal exercise price of $0.01 per share, subject to performance milestones and market conditions.

Industry analysts view the partnership as a major competitive development, signaling increased diversification in AI hardware procurement and reducing reliance on a single GPU supplier. Following the announcement, AMD shares surged more than 20 percent in early trading.

 

The AMD–OpenAI partnership reinforces AMD’s commitment to delivering high-performance, energy-efficient compute solutions for the world’s leading AI innovators.

 

As part of the long-term agreement, OpenAI has been granted a warrant to purchase up to 160 million AMD shares—representing approximately 10 percent of AMD’s outstanding stock—at a nominal exercise price of $0.01 per share. The warrant vests in stages, contingent upon OpenAI achieving defined performance milestones and sustained partnership commitments.
